1) Who We Are

Welcome to howtostudygerman.com (the “Site”). We offer German-learning products and services operated by two entities:

• EXCHANGENB OÜ (Estonia) – provides tutoring services, trial lessons, free quizzes, and general Site access.
• How To Study German LLC (USA) – provides all digital products (currently: eBooks as PDF; in the future: premium quizzes and other paid digital content).

By accessing or using the Site, you agree to these Terms and Conditions (the “Terms”). If you do not agree, please do not use the Site.

2) Services Overview

A. Private German Lessons (EXCHANGENB OÜ)

• Format: Lessons via Skype, Google Meet, or Microsoft Teams.
• Duration: Standard private lesson: 55 minutes (unless otherwise agreed in writing when booking).
• Booking & Cancellation: You may cancel free of charge if you do so at least 12 hours before the start time. Cancellations made less than 12 hours before the start time are charged in full.

B. Trial Lesson (EXCHANGENB OÜ)

• Eligibility: Discounted trial is available only once per new student.
• Duration: 30 minutes.
• Booking & Cancellation: As above; cancellations < 12 hours before start are charged in full.

C. Free Quizzes & Short Stories

• Access: The Site may offer free quizzes and short stories for practice; registration may be required for certain features.
• Restrictions: You may not copy, redistribute, or use the content for commercial purposes.

3) Digital Products (How To Study German LLC)

This section applies to all digital products provided by How To Study German LLC.

3.1 eBooks (PDF)

• Format & Delivery: eBooks are delivered as PDF files via secure download link and/or email immediately after successful purchase.
• License: On purchase, How To Study German LLC grants you a personal, non-transferable, non-exclusive license to use the eBook for your own private, non-commercial use. Sharing, reselling, uploading, redistributing, or copying the eBook (in whole or in part) is strictly prohibited.
• EU/EEA Withdrawal: By purchasing digital content for immediate download, you expressly consent to immediate performance and acknowledge that you lose the 14-day withdrawal right once the download starts.
• Refunds: Because access is provided immediately, refunds are generally not available. If a file is defective or a link does not work, contact us and we will assist with re-delivery.

3.2 Premium Quizzes (planned; not yet available)

These terms will apply when premium quizzes go live.

This section will apply once premium quizzes are launched.

• Access model: Premium quizzes are provided as an online digital service delivered via our website.

• Withdrawal right (14 days):
  Consumers  have a statutory 14-day right of withdrawal from the date of purchase.

• If you withdraw before you have started using the quizzes, we will refund the full purchase price.

• If you withdraw after starting use (without waiving your right): You are entitled to a partial refund (pro rata). The refund will be calculated based on the proportion of the service already used at the time of withdrawal. For example, if 25% of the access period has passed or 25% of the content has been completed, we may deduct 25% of the purchase price and refund the remainder.

• Payment handling: Premium quizzes will be sold via Paddle (Merchant of Record).

4) Payments, Taxes & Invoicing

• Private Lessons (EXCHANGENB OÜ): Payments are processed via Stripe. Fees are listed on the Site and may change. Cancellations and refunds follow the lesson policy above.
• Digital Products (How To Study German LLC): Payments are processed via Paddle, which acts as the Merchant of Record. Applicable taxes (e.g., VAT/GST) may be collected by Paddle. Your card statement may show “PADDLE” or a similar descriptor.
• Paddle Terms: Your purchase may be subject to Paddle’s applicable terms and processes, including (as relevant) Paddle legal terms.
• Pricing: Prices may change at any time. Significant changes will be reflected on the Site.

5) Acceptable Use

• Use the Site lawfully and respectfully.
• Do not spam, harass, mislead, or infringe others’ rights.
• Do not attempt to hack, scrape, bypass security, or gain unauthorized access.
• Do not use Site materials for commercial purposes unless expressly permitted in writing.

We may suspend or terminate access for violations.

6) Intellectual Property

All Site content (including text, graphics, logos, downloadable files, and AI outputs where applicable) is owned by or licensed to EXCHANGENB OÜ and/or How To Study German LLC and protected by applicable IP laws. Except as expressly allowed in these Terms, no rights are granted to you.

7) Disclaimers & Limitation of Liability

• General: The Site and materials are provided “as is” and “as available”. We do not warrant uninterrupted or error-free operation.
• Learning Outcomes: We do not guarantee specific exam results or proficiency improvements.
• AI Outputs: AI may produce inaccurate or outdated information. You use AI outputs at your own risk.
• External Links: We are not responsible for third-party sites or services linked from the Site.
• Liability Cap: To the maximum extent permitted by law, our aggregate liability arising out of or related to the Terms or the services will not exceed the amount you paid to us for the specific service or digital product giving rise to the claim.

8) Governing Law & Dispute Resolution

8.1 Tutoring & General Site Services (EXCHANGENB OÜ)

• Governing Law: The laws of Estonia.
• Venue: Competent courts in Tallinn, Estonia, unless mandatory consumer law of your habitual residence provides otherwise.
• Process: Parties shall first attempt good-faith negotiation; if unresolved, claims may be brought in the venue above.

8.2 Digital Products (How To Study German LLC)

• Governing Law: The laws of the United States and, without regard to conflict-of-law rules, the laws of the State of Wyoming, where How To Study German LLC is formed.

• Venue: Exclusive jurisdiction of the competent state or federal courts in Wyoming, in the county where How To Study German LLC has its principal place of business.

• Consumer Protection: Mandatory consumer protection rules of your country of residence remain unaffected to the extent they apply.

9) Changes to the Services or Terms

We may modify, suspend, or discontinue services at any time. We may also update these Terms. Material changes will be posted on the Site with an updated effective date. Your continued use after changes constitutes acceptance.

10) Termination

We may suspend or terminate your access if you materially breach these Terms, engage in unlawful activity, or create risk or possible legal exposure for us. Upon termination, any licenses granted to you under these Terms automatically end.

11) Privacy

Please review our Privacy Policy to understand how we collect, use, and share information. By using the Site, you consent to our data practices as described there.

12) Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and us regarding the Site and services, superseding any prior agreements on the same subject.
• Severability: If any provision is found unenforceable, the remaining provisions remain in full force and effect.
• No Waiver: Failure to enforce a provision is not a waiver of our right to do so later.
• Assignment: You may not assign these Terms without our prior written consent.
• Headings: Headings are for convenience only and do not affect interpretation.
